1.   Job purpose

This is a group level role across the various business units. This role will be in the legal team reporting directly to the CEO/COO to conduct both legal and company secretarial activities.

Familiar with UK common law with a good body of knowledge and demonstrable experience in financial technology (fintech)/ exchange/ banking/ IT industry with at least 4-5 years of relevant experience.

Position responsibilities include advising GMEX Group (GMEX) employees and management in legal and regulatory matters, ensuring compliance with legal and regulatory guidelines, reviewing contracts and agreements, all company secretarial activities, representing GMEX in legal or regulatory proceedings, participating in committee and working group activities, monitoring legislative proceedings, maintaining active client relationships with various entities and associations, conducting internal training on current topics/legislation, providing regular and ad hoc briefings to senior management on regulatory changes having an impact on GMEX, and working on contractual issues for GMEX suppliers/customers. This position will require regular liaison with all internal departments as well as customer/supplier facing.

This role is fast paced, and will be juggling several tasks/projects at one time.

2.   Key responsibilities and accountabilities

Key Duties:

Negotiate, write, and execute agreements and contracts
Offer counsel on a variety of legal issues
Advise executives within the company and work alongside employees in Strategic Business Units, Technology, Marketing, Brand Communication, Sales, Human Resources and Business Development
Manage various projects and deadlines
Advise executives on contract status, legal risks and business terms of various deals
Explain legal language
Provide assistance with global joint ventures, strategic partnership deals, investor relations and mergers and acquisitions
Draft terms and conditions in agreements
Ensure legal objectives are met
Conduct company secretarial activities and regulatory filings
Research unique legal issues impacting the organisation by identifying applicable statutes, judicial decisions, and codes
Keep abreast of legislative changes that may affect the company and its affiliates
Perform pre-litigation work to minimise risks and maximise legal rights
Review advertising and marketing materials to ensure compliance with legal requirements
Develop solutions to complex legal questions
Provide training to company and its affiliates on substantive legal topics
Act as Data Protection Officer
Objectives:

Develop robust relationships with client and partner legal counsels, regulators and government organisations as applicable
Manage the resolution of regulatory or legal matters
 Review and comment on proposed legislation where applicable
Actively engage with internal and external teams on market conduct examinations and other regulatory actions
Ensure the company is operating within the law at all times
Provide legal advice and representation to the CEO and the Leadership team for all local and non local affairs
Ability to manage and resolve complex legal and regulatory matters and to clearly and effectively communicate these matters to others internally and externally as needed
Ability to influence key internal and external decision makers on key policy issues
Ability to advocate policy positions on key issues on state levels
Consult and coordinate with new business/sales/product development to determine regulatory requirements for commercial products being offered in the marketplace
Review benefit plans for compliance with state mandates and other healthcare reform requirements
Help to manage and resolve consumer complaints as needed.
Review of operational documents to ensure compliance with statutory/regulatory laws
Desirable:

A fully qualified Solicitor or Barrister with practice experience in UK common law
At least Four or five years post qualified experience in contract/commercial law, preferably within the fintech/ exchange/ banking/ IT industry
Expert level of knowledge of regulatory environments
Litigation and alternative dispute resolution skills
Problem solving skills, Team Player
Client focused
Excellent written and verbal communication skills
Effective relationship building skills, working with various levels internal and external leaders including regulators.
A good working understanding of UK law
